Able Fruit Company Limited (AFC) asked Best Shipping Company Limited (BSC) to carry a shipment of 1000 boxes of oranges packed into 5 containers in equal number of boxes from Hong Kong to Singapore.After loading,a set of clean bill of lading was issued by BSC to AFC.The bill of lading stated that the consignee was Capital Trading Ltd (CTL) in Singapore.A clause in the bill of lading provided that “The Hague Rules or the US COGSA shall apply to this shipment.”
By producing the duly endorsed bill of lading,CTL took delivery of the 5 containers in Singapore.After opening of those containers,it discovered that all 200 boxes of oranges in one of the containers were rotten because BSC had not taken care of the goods during the voyage.The oranges could not be consumed by human beings anymore.
Advise CTL to the following issues only (you are not required to discuss other issues involved in the case):
(1) whether the clause to apply the Hague Rules is valid?(10 marks)
(2) whether CTL has the right to claim against BSC for the loss of the oranges?(10 marks)
