You agree that for a period of two (2) years from the date of this Agreement,neither you nor any of your affiliates or Representatives will (i) solicit,engage,employ or use the services of,in any capacity any director,officer or employee of XXX company or any of its subsidiaries or affiliates,provided that the foregoing shall not prevent you employing somebody who responds,unprompted directly or indirectly by you,or any of your affiliates or Representatives,to a general advertising campaign or (ii) except in the ordinary course of your business,proactively approach,contact or have dealings with any Representative of XXX company or its subsidiaries,or any client,customer (applicable to those that you do not have a previous relationship with) or supplier of XXX company or its subsidiaries without our prior written consent in each instance.
