Neither the Borrower nor any subsidiary of the Borrower is in default in the payment of any principal of or interest on any indebtedness for borrowed money and are not in breach of or in default under any other provision of any indenture, deed of trust, agreement or other instrument to which it is a party and under or subject to which any such indebtedness for borrowed money has been issued and is outstanding and no event, condition or act which with the giving of notice or lapse of time, or both, would constitute an event of default under any such indenture, deed of trust, agreement or other instrument has occurred which has not been properly waived or remedied thereunder;
