Inspection.Celanese and its customers for the Finished Goods have the right to review,inspect and test any and all Raw Materials,Finished Goods and Services (i) prior to completion of Services or Finished Goods by Toller,(ii) prior to shipment of the Finished Goods by Toller,(iii) prior to arrival and (iv) upon arrival (before acceptance) of the Finished Goods at the destination.Payment by Celanese does not constitute acceptance.
EHS Audits.Toller expressly understands and agrees to Celanese performing periodic environmental,safety and health audits of the Facility as provided herein and that continuation of this Agreement is subject to Toller’s qualification based on such audits as determined by Celanese in its sole discretion.
Essence.Date(s) of Services and quantities and qualities specified are of the essence.Toller shall promptly notify Celanese whenever it appears to Toller that it will not be able to perform as specified.
