with the development of the listed companies in our country,there emerged many problems,of which the most important and also the most urgent one is the protection of the interestes of those small shareholders,especially the shareholders of those listed companies.small shareholders are the weaker parties of the listed companies but also the most populous group at the same time.protecting their interests relates directly to the healthy development of the listed companies and the stock market in our country.in the operation of those current listed companies,it has become a common phnomenon that big shareholders often breach the rights of the small shareholders in a variety of ways,for example,relating trasaction and behind the curtain trasctions.there are many reasons why this is happening,for one,the shortcoming of the management of those listed companies as well as the shortcoming in law implementation.therefore,it is nessesary to discuss the measures to solve these problems by aspects like improving the managemental system of listed companies and also related regulations.
