8.4.Limitation of Liability.The total amount of the liability of the Seller and the Guarantors and in respect of all cases of breach or non-fulfilment of the Seller’s Warranties which are found after the Closing,shall be limited to and in no event exceed the amount of USD 4.25 million.No claim shall be made in respect of any breach or non-fulfilment of any of the Sellers’ Warranties unless the amount of each claim individually exceeds the amount of USD 15.000.00.
8.5.Forfeiture.Any claims of the Buyer resulting from any breach or non fulfilment of any provisions of this Agreement by the Seller or the Guarantors shall be forfeited unless the Buyer has served on the Seller or the Guarantors,as applicable,a written notice within three (3) years after the Closing Date giving reasonable details of the claim including the Buyer’s best estimate of the amount of the liability of the Seller and the Guarantors in respect thereof.However,claims arising by reason of a breach of clause 4.16 hereof (Taxes) shall not be forfeited earlier than 3 months after a final decision has been issued which establishes taxes and/or contributions payable for periods before Closing.The Buyer shall raise its claims in accordance with section 9.below within a period of one year after serving written notice to the Seller or the Guarantors.
