7.7. No Assignment: This Agreement and all of the provisions hereof shall be binding upon and inure to the benefit of the Parties and thir respective successors and permitted assigns. Neither this Agreement or any of the rights, interests or obligations hereunder shall be assigned by any Party without the prior written consent of the other, except that either Party promplty informs the rights to its affliates and subsidiaries provided that the transferring Party promptly informs other Party and provides a hoint and several guaranty for the performance of the obligations under this Agreement by assignee. Nothing contained herein, express or implied, is intended to confer on any person other than the Parties or their repective successors and permitted assigns, any rights, remedies, obligations or liabilities under or by reason of this Agreement.
