General letter of hypothecation and power of attorney
To:bank of china
1.whereas I/we,the undersigned may have occasion from time to time to negotiate with you or hand you for collection bill or bills of exchange drawn or endorsed by me/us with or without collateral security and whereas you may from time to time also grant me/us credit or other banking facilities to such extent and in such manner as you may think fit by way of overdraft,loan or by any other means for the purchase storage and preparation for sale or shipment of good in consideration of your agreeing to negotiate or indorse for me/us or to accept from me/us for collection bill or bills of exchange with or without collateral security and/or granting me/us credit or other banking facilities as aforesaid I/we hereby plead to you as a continuing and ambulatory security for the repayment to you on demand of all sums in which I/we may be actually or contingently indebted or liable to you on any account either as principal,guarantor,surety or endorser,including all commission,interest and all costs and charges incurred in relation thereto all stocks,shares,securities,fixed deposits,coins bullion,currency,goods,chattels,effects and things whatsoever which or the scripts,bank pass books,invoice,bill of lading,go-down warrants or other documents representing which I/we now or may hereafter deposit with you or which may hereafter come into your possession on my/our account and whether originally deposited for safe custody only or for any other purpose whatsoever or which,may hereafter be deposited by me/us in lieu of or in addition to the securities ( which term shall hereinafter be deemed to include all the things above enumerated) and I/we further agree that unless otherwise specifically permitted by you all moneys provided under such banking facilities shall be used solely for the purchase store and preparation for sale or shipment of goods constituting or forming part of securities.
6.and I/we the undersigned hereby undertake to provide funds:
(a) To meet on demand all bills negotiated or indorsed by you for me/us which may bedishonoured on presentation for acceptance or which may not be paid at the due date thereof according to the original tenor thereof and non-payment of a bill shall be deemed to have taken place if at that date funds have not been placed at your free disposal for the whole sum due.
(b) To reimburse you for all advances made against documents of title which may not have been duly taken up on presentation.
(c) To meet re-exchange expenses and interest.
