1.The SUPPLIER shall indemnify and hold harmless the BUYER and its shareholders,officers,directors,employees and representative against any claims,damages or loss,arising out of or connected,directly or indirectly,to the conduct,operations or performance of the SUPPLIER,or the failure or omission of the SUPPLIER to perform the diligence required in the conduct,operations or performance of its obligations under this Agreement.
2.The BUYER shall not be liable for any consequential damages of any kind,whether as a result of a loss by the SUPPLIER of present or prospective profits,anticipated sales,expenditures,investments,commitments made in connection with this Agreement,or on account of any other reason or cause whatsoever.
3.Both known to me to be the same persons who executed this SUPPLY AGREEMENT and both acknowledged to me as their own voluntary acts and deeds and official representative to the entity they represent.The parties herein and their instrumental witnesses signed this instrument in my presence.
