14.FORCE MAJEURE
Neither party shall be liable for damages arising or incurred during the time and to the extent that such party is prevented or delayed from complying with its obligation hereunder,in whole or in part,by any cause except financial,beyond the reasonable control of the party affected including,but not limited to Acts of God,war,laws,orders or regulations of governmental bodies or agencies,strikes,labor disputes and unavoidable accidents.Nothing herein contained shall be deemed to impose upon any party hereto any obligation to settle any labor dispute on terms,in the sole discretion of the party affected,which are not in the best interests of such party.Any party failing or delaying in the performance of its obligations hereunder due to any cause aforesaid shall,within forty-eight (48) hours of discovering such cause,give the other party notice in writing of such delay in performance,and it shall use,to the best of its ability,reasonable diligence to remedy the same.Notwithstanding the foregoing,PDOC may terminate this Order pursuant to Section 9 herein in the event of such delay or anticipated delay in performance.
16.DRAWINGS AND SPECIFICATIONS
All drawings,blueprints,specifications,etc.whether received or supplied by PDOC or prepared or constructed by Vendor specifically required for the completion of this Order,or for repair or replacement pursuant to the warranty provisions hereunder,shall be the property of PDOC and information therefrom shall be considered confidential and shall not be disclosed to any third party without prior written approval of PDOC and upon completion of deliveries hereunder,or upon termination of this Order,shall be delivered to PDOC unless otherwise agreed to in writing.
18.AUDIT AND INVOICE CORRECTION
If any error is discovered in an invoice rendered to PDOC,such error shall be adjusted within thirty (30) days from the date of discovery of such error provided,however,that there shall be no adjustment made for any error discovered more than twenty-four (24) months after receipt of an invoice by PDOC.
b) PDOC or any person designated by PDOC may at any and all reasonable times for a period of twenty-four (24) months after the date of delivery of the goods have access to Vendor’s books and records relative to the reimbursable costs provided for in the Order for the purpose of auditing and verifying such costs and PDOC may make copies of such books and records as reasonably required by PDOC performing such audit.Vendor shall promptly review and settle with PDOC all matters arising from such audit,including the refunding of moneys where applicable.
19.PACKAGING
Vendor shall ensure all goods are packaged in such a manner to ensure the goods shall be transported and delivered to PDOC without sustaining damage.

14.不可抗力
合同双方对由于战争、法律、政府团体或机构制定的规章制度、罢工、劳工争议和其它不可避免的事故导致不能或暂时不能全部或部分履行义务而造成的损害,不负有责任.任何一方由于上述原因所致,不能履行或者是不能按时履行其相应义务,应该在发现事故原因48小时内以书面形式通知另一方,并且在及时尽力做出补救.按照本合同第9条规定如果发生上述不能按时履行或是能够预料的不能按时履行,PDOC可以终止本定单.
16.图纸及技术说明
无论是PDOC收到或是提供的,还是卖方这完成定单所准备或创立的所有的图纸、计划和规格等等,或是按照此后的保修补给所提供的维修、更换,都属于PDOC所有,其中的信息都是保密的,不经PDOC书面允许不能透露给任何第三方.完成交付货物或是定单终止时,除有其它书面协议外,上述材料应交给PDOC.
18.审记及发票修正
如里递呈给PDOC的发票有任何错误,错误应该在从发现错误当天起30天内改正.但是,PDOC收到发票起24个月后,发现的任何错误都不能更正.
PDOC或PDOC指定的任何人在发货后的24个月内,为审核或查证有关定单中提供的可报销的费用,在任何合理的时间有权使用卖方记载的相关帐薄和记录;这进行上述审记工作,PDOC可以复印相关的账目和记录.PDOC应该及时评估和解决由于这些审记工作所产生的问题,包括适当的时候退还钱款.
19.包装
卖方应该确保所有货物的包装能保证货物在运输和交付给PDOC时不受损坏.
