Article 3.5 Expenses
Each Party shall bear all expenses incurred respectively in connection with the execution of this Agreement and performance of its obligations hereunder. However, all expenses incurred by each Party on behalf of or for the benefit of the “JV Company” shall be reimbursed by the “JV Company” on their contribution date pursuant to Article 5.2 herein, however, provided that a Party seeking reimbursement shall obtain the prior written consents from the other Party regarding such reimbursement. In case that the “JV Company” has, for any reason, not been established, each Party shall bear all of its expenses respectively in connection with execution of this Agreement and performance of its obligations hereunder.
