SANCTION AGREEMENT
THIS AGREEMENT is effective as of 1 April 2008.
BETWEEN
(A) CHINESE MOUNTAINEERING ASSOCIATION of NATIONAL SPORTS COMMISSION of 9 Tiyuguan Road,Chongwen District,Beijing 100763,People’s Republic of China (the "Association"); and
(B) ESPN STAR SPORTS of 151 Lorong Chuan,#03-01 New Tech Park,Singapore 556741 ("ESS");
WHEREAS
I.The Association is the governing body authorised to sanction sport climbing in the People’s Republic of China including but not limited to those in the Event (defined herein).
II.ESS is in the business of promoting,organizing,staging and marketing sporting events throughout Asia.
III.ESS wishes to engage the Association’s services and the Association wishes to host and assist in the coordination of the Event under the terms and conditions of this Agreement.
NOW THEREFORE,for and in consideration of the mutual covenants and agreements herein contained,the Association and ESS (individually a Party and collectively the Parties) hereto,intending to be legally bound hereby,covenant and agree as follows:
1.EVENT AND VENUE
The event is the KIA X Games Asia 2008 (as further particularized in Schedule I) and scheduled to take place on 30 April 2008 to 3 May 2008 (the “Event’) or any other dates to be determined by ESS,provided that such dates fall within the Term.The Event will be staged at a venue to be determined by ESS in Shanghai (the “Venue”).The official title of the Event is the KIA X Games Asia 2008 (the “Event Title”).
2.ASSOCIATION’S APPOINTMENT
ESS agrees to appoint the Association and the Association agrees to host and assist in the coordination of the Event under the terms and conditions of this Agreement.

(A) 国家体委中国登山协会（简称“协会”）,中华人民共和国北京市崇文区体育馆路9号,邮编100763；及
(B) ESPN STAR SPORTS（简称ESS）,151 Lorong Chuan,#03-01 New Tech Park,Singapore 556741；
鉴于：
I.协会是批准中华人民共和国境内登山运动的授权管理机构,包括但不限于本次活动（定义见本协议）中的比赛.
II.ESS是在全亚洲推广、组织、举办和营销体育活动的企业.
III.ESS希望获得协会的服务,而协会希望根据本协议条款及条件举办并协助协调本次活动.
因此,以本协议所述相互约定和协议为对价,协会和ESS（单称为“一方”；合称为“双方”）同意接受本协议的法律约束,双方兹协议如下：
1.活动与地点
本次活动指“2008年起亚亚洲极限运动锦标赛”（详情见附件一）,订于2008年4月30日至2008年5月3日期间或ESS确定的其它日期举行（简称“本次活动”）,但此类日期不得超过协议期限.本次活动将在上海举行,具体地点由ESS确定（简称“地点”）.本次活动的官方名称是“2008年起亚亚洲极限运动锦标赛”（简称“活动名称”）.
2.协会的委托
ESS同意委托协会根据本协议条款及条件举办和协助协调本次活动,且协会同意根据本协议条款及条件举办和协助协调本次活动.
