改革开放以来,我国经济取得举世瞩目的成绩,伴随着我国市场经济的发展,我国投资银行也得到了快速发展.但由于发展时间短、规模小、缺乏相关明确的法律法规指导等原因,我国投资银行在发展过程当中还存在不少问题,其中治理结构方面的问题尤其突出.本文首先介绍了投资银行的定义以及我国投资银行发展历程和现状,然后分析我国投资银行治理结构存在的问题及其成因,接着对美国投资银行的股权结构、董事会结构、经理层的监督机制、激励机制等进行了分析,最后讨论了我国投资银行治理结构完善措施,即完善公司治理结构外部环境、优化公司股权结构、改善公司内部治理措施.
Since the reform and
opening up,China's economy
has made remarkable achievements,along with the development of China's market economy,China's investment bank has also
been a rapid development.However,due to the development of a short time,
small size,lack of clear laws and regulations guiding the investment bank in China
in the process of development which there are many problems,including the
issue of the governance structure especially.This paper first describes the course of development and current status of
the definition of investment banking and investment banking in China.Then the problems of the governance structure of the
investment bank in China
and Its Causes.Followed by analysis
of the four aspects of the U.S.
investment bank shareholding structure,board structure,managers oversight
mechanisms,incentives,and benefit from the mature experience.Finally,our investment banking governance structure
measures that improve the corporate governance structure of the external
environment,optimize the shareholding structure,improve internal governancemeasures.
