Governing Law.This Agreement,and any and all actions arising from or in any manner affecting the interpretation of this Agreement,will be governed by,and construed solely in accordance with,the laws of the State of California,without giving effect to any conflicts of laws principles that would require the application of the laws of a different state.Any action or proceeding arising from or relating to this Agreement must be brought exclusively in the United States District Court for the Northern District of California or in the state courts located in Santa Clara County,California.Each Party irrevocably submits to the exclusive jurisdiction and venue of any such court in any action or proceeding relating to this Agreement; provided,however,that Applied may seek injunctive relief for the purpose of protecting its Intellectual Property Rights in any court of competent jurisdiction,wherever located.The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement.
